Section 181 of the IRS tax code allows for a 100% write-off of movie and TV productions up to $15,000,000 so this appeals to the small investor or large investor as well as the systems included in this package are $36,000 each. The way this one is structured you pay us only the tax savings which are returned to you by the IRS and the rest of the note is repaid to you in the form of advanced monthly game show royalties with interest.

Representative example:

$36,000 IPBX system with an investor in the 40% tax bracket = $14,400 in tax savings write-offs for Year One.

Investor pays to the escrow company the amount of the tax savings and then signs a note for the balance of the risk capital $21,600 , in this example, at 10% interest (3-5 years) and makes payments to WITI to that mutually approved escrow company such as a real estate title company.

Then , each month equal payments are made from the WITI account back to the investor by the same escrow company back to the investor as an advanced royalty payment for TV game show revenues against 5% of the show’s revenues which will hopefully soon be much more than the amount of the original monthly installment. . The contract between the investor and WITI insures that only the escrow company handles the funds. WITI has no control over the amount of money paid to the escrow account by the investor and in fact pays the 5% to this WITI account such that the investor receives which is ever the larger , the monthly equipment payment or 5% of the gross revenues for the city(s) or country (s)which the device is assigned.

In theory, WITI could execute the desired number of devices with a single firm having a large tax liability or a series of individuals at $36,000 each. A 40% writeoff immediately would justify a total capital equipment amount totaling 410 devices ($14,436,000 allowing for any required federal or state excise or sales or property taxes)

Insurance for fire and theft of the equipment which will be kept in a secured telecommunications locked center will need to be included in the transaction.

We believe that the upside potential for this 0 or low risk investment is substantial for 3 primary reasons:

1. The game show Deal or No Deal rakes in a whopping $16,700,000 per episode in game show and consumer texting revenues sharing at 99 cents per text message to win the $10,000 suitcase. Nothing other than this is interactive for the consumer…WITI’s patent (authored by founder Richard Wuelly ) is part of the company’s assets and

includes total interactivity with the public which means they get to win from home , the big and biggest prizes, not just some paltry consolation prize as is the case with Deal or No Deal where studio contestants only are favored or allowed to win , excepting the "at home" random suitcase drawing from received text messages guessing the correct numbered case.

2. The investor receives not only the 5% gross royalty for WITI which include barter exchanges, political calling and a myriad of other products and services.
3. Most notably, the investor can transfer the ownership of the equipment for stock WITI at the rate of $1 per share of dollar invested. Investment sales reps receive a similar benefit in addition to the commissions paid from the tax savings received by WITI for their efforts in obtaining investors.
4. Using Google as an example, if the WITI stock were to be as exciting and as accepted as we expect it to be since it is truly the world’s first real and interactive TV reality game show, then $500 per share is not unrealistic. 36,000 shares would be worth a whopping $18,000,000 PER UNIT.
